1. License Grant
Subject to your compliance with this EULA, Memory Leaf LLC grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Memory Leaf mobile application ("App") on any Apple-branded or Android-branded device that you own or control, solely for your personal, non-commercial use, and solely in accordance with the App's documentation and our Terms of Use.
2. Restrictions
You may not: (a) distribute, sell, rent, lease, sublicense, or transfer the App; (b) copy, decompile, reverse-engineer, disassemble, or attempt to derive the source code of the App; (c) modify, adapt, or create derivative works of the App; (d) remove or obscure any proprietary notices; or (e) use the App in any manner that violates applicable law.
3. Ownership
Memory Leaf LLC retains all right, title, and interest in and to the App, including all intellectual property rights therein. This EULA does not grant you any rights to Memory Leaf's trademarks or service marks.
4. User-Generated Content
Your submission and use of photos, videos, and other content within the App is governed by the User Content provisions of our Terms of Use and Privacy Policy.
5. Maintenance & Support
Memory Leaf LLC is solely responsible for providing maintenance and support services for the App, as may be required under applicable law. Apple and Google have no obligation whatsoever to furnish any maintenance or support services with respect to the App.
6. Third-Party Beneficiary (Apple)
You acknowledge that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.
7. No Warranty
THE APP IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. IN THE EVENT OF ANY FAILURE OF THE APP TO CONFORM TO ANY APPLICABLE WARRANTY, YOU MAY NOTIFY APPLE OR GOOGLE, AND YOUR SOLE REMEDY (IF ANY) WILL BE A REFUND OF THE PURCHASE PRICE, IF APPLICABLE. APPLE AND GOOGLE HAVE NO OTHER WARRANTY OBLIGATION WHATSOEVER WITH RESPECT TO THE APP.
8. Liability
Memory Leaf LLC, not Apple or Google, is solely responsible for addressing any claims relating to the App, including product liability claims, claims of non-compliance with legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
9. Legal Compliance
You represent and warrant that you are not located in a country subject to a U.S. Government embargo, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
10. Export Law Assurances
You may not use or export the App except as authorized by U.S. law and the laws of the jurisdiction in which the App was obtained.
11. Termination
This EULA is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the App and delete it from your devices.
